BY-LAWS OF THE NORTHERN COLORADO GTO ASSOCIATION
ARTICLE I. NAME EMBLEM AND COLORS
Section 1. Name: Northern Colorado GTO Association
Section 2. Emblem: Club Logo: Blue and White text around Horsetooth Rock and GTO 6.5 Litre Crest and 2004 GTO Crest
Section 3. Colors: Any Color
Cap: Any Color with NCGTOA logo.
Jackets: Any Color with NCGTOA logo.
ARTICLE II. OBJECTIVES
Section 1. To promote interest in the Pontiac GTO
Section 2. To create and maintain good fellowship and sportsmanship among all members, clubs and car enthusiasts.
Section 3. To uphold the principles of good government in the Northern Colorado GTO Association.
Section 4. To conduct Northern Colorado GTO Association functions and activities in a manner benefiting members of the Northern Colorado GTO Association and to encourage a better understanding of the Northern Colorado GTO Association as a constructive sport among members, the public and law enforcement agencies.
Section 5. To promote safety in driving, maintenance and overall operation.
Section 6. To meet all requirements for recognition as an official chapter of the GTO Association of America.
ARTICLE III. MEMBERSHIP
Section 1.
Membership in the Northern Colorado GTO Association shall be open to all persons interested in the promotion of the Pontiac GTO, as well as any other Pontiac make and model. All members must be willing to uphold the objectives of the Northern Colorado GTO Association.
Membership shall include all members of a household, with a maximum of two (2) votes per household/membership. Only members twelve (12) years of age and older may vote.
Member of the Year – The Member of the Year Award should be based upon the individual's efforts, contributions, participation, and accomplishments for the election year. The member of the year shall be placed on the Officers ballot and voted on by the Club Members. The member of the year may consist of any Club member, a Club Officer, or a member of the Board of Directors. The Member of the Year shall be rewarded with a special trophy and/or gift agreed upon by the Board of Directors and will be awarded at the Annual Christmas Party.
Section 2. The Board of Directors may suspend any member who violates Article II, Section 2 of these By-Laws, after review and recommendation, by a majority vote of the Northern Colorado GTO Association.
ARTICLE IV. DUES
Section 1. Membership will be $65 per year.
Section 2. The yearly dues cycle will run from January 1 to December 31, standard calendar year. Members will be sent a reminder by the Club Secretary via email or U.S. Mail two months and then again one prior to their membership expiration date.
Section 3. Dues for members, both past and present, will be paid, in full, to the Treasurer by the end of December.
Section 4. No proration of dues will be allowed. New members paying in September for example, will pay full amount again for the next year.
Section 5. Any member not paying dues by December 31st of each calendar year shall have their membership automatically suspended, and shall not be reinstated until payment has been made, retroactive to the January 1st calendar year date.
Section 6. Members who resign shall forfeit their dues.
ARTICLE V. OFFICERS
Section 1. Elected Officers will be the President, Vice President, Secretary, Treasurer, and Media Officer.
Section 2. Officers who miss more than three (3) meetings in the year that they are in office, without notification of another officer will be subject to removal from office.
Section 3. All Officers shall be members of the GTO Association of America. This is a requirement for affiliation of the Northern Colorado GTO Association with the GTOAA as an official chapter.
Section 4. The Board of Directors will consist of the elected officers and the Past President.
Section 5. Duties of elected officers:
PRESIDENT - The President will preside at all meetings and will be the Chief Executive Officer of the Northern Colorado GTO Association. He/She will have general supervision over the development of its entire program. He/She will make all committee appointments subject of approval by the general membership of the Northern Colorado GTO Association.
VICE PRESIDENT - The Vice President will perform administrative duties as prescribed by a majority of the members of the Northern Colorado GTO Association. In the absence of the President, or in the case of his/her death, resignation, or inability to act, the duty of the Vice-President shall be to assume the responsibilities of the office of the President.
TREASURER - The Treasurer will be responsible for the collection of the Northern Colorado GTO Association dues and fees for maintaining a financial record of receipts and expenditures. The Treasurer will report the Association’s financial status to the President of the Board of Directors, as requested by the President of Board of Directors, and to the general membership at the regular meetings of the Northern Colorado GTO Association. The Treasurer’s report will consist of cash basis statements of revenues and expenditures and accrual basis statements of assets, liabilities and fund balances. The Treasurer will notify the President, Vice President and Secretary/Newsletter Editor within seven days of the receipt of a new membership application or a membership renewal.
SECRETARY/NEWSLETTER EDITOR - The Secretary will keep a written record of all business and matters discussed at the Board of Directors meetings and the regular meetings of the Northern Colorado GTO Association. He/She will be the custodian of these records, both past and present, as prescribed by Colorado statutes. He/She will read the minutes of the last general meeting of the Northern Colorado GTO Association at the regular meeting of the Northern Colorado GTO Association. He/She may also be requested to report on the last Board of Directors meeting at the regular meeting of the Northern Colorado GTO Association. The Secretary will maintain the By-Laws of the Northern Colorado GTO Association and will keep an up to date directory of current Northern Colorado GTO Association members and coordinate this list with the Treasurer. The Secretary will issue membership cards to new and current members of the Northern Colorado GTO Association.
The Secretary will also publish and mail a monthly newsletter within fourteen (14) days of the previous monthly meeting. The newsletter will consist of Northern Colorado GTO Association activities and meetings complete with dates, times, places, and special instructions or directions, technical information and advertisements. All members are expected to contribute articles and information for publication in the Northern Colorado GTO Association newsletter. Members are especially encouraged to submit stories about their or other GTO’s. The Northern Colorado GTO Association newsletter will be emailed or mailed to all members of the Northern Colorado GTO Association, all other GTOAA chapters who send their newsletter to the Northern Colorado GTO Association, the chapter coordinator of the GTOAA and Northern Colorado Car Council member clubs who request a copy.
The Secretary will also coordinate all incoming correspondence with the general membership at the regular meeting of the Northern Colorado GTO Association.
ARTICLE VI. ACTIVITIES
Section 1. Activities can include parades, car shows, rallies, picnics, parties, cruises, and any other event that promotes interest in the Northern Colorado GTO Association.
ARTICLE VII. MEETINGS
Section 1. Monthly meetings shall be held on the first Thursday of every month at 7:00 unless the membership has agreed to another time or date. All meetings shall be announced in the Northern Colorado GTO Association newsletter.
Section 2. Board of Directors meetings should be held quarterly or more frequently as determined by the President. An initial board meeting should be held in January to review goals and objectives for the year ahead.
Section 3. Roberts Rules of Order will be followed during meetings to effect parliamentary procedure unless otherwise amended and provided for in these By-Laws or subsequently through the Board of Directors.
ARTICLE VIII. ELECTIONS
Section 1. Nominations for officers of the Northern Colorado GTO Association must be made from the floor during the regular monthly meeting preceding the end of the term of current officers, i.e., at the regularly scheduled November meeting of the Northern Colorado GTO Association.
Section 2. Candidates for officers of the Northern Colorado GTO Association must be active members and considered in good standing and willing to be members of the GTO Association of America.
Section 3. Officers will be elected, by ballot only, at the regularly scheduled December meeting of the Northern Colorado GTO Association. The member must sign all absentee ballots.
Section 4. Newly elected officers will assume office at the first regular meeting of the new term, i.e., for 12 months beginning in January.
ARTICLE IX. PERSONAL LIABILITY
Section 1. All persons or corporations extending credit to, contracting with, or having any claim against the Northern Colorado GTO Association or the Board of Directors shall look only to the funds and property of the Northern Colorado GTO Association for payment of any such contract or claim for payment of any debt, damage, judgment, or decree, or any other money that may otherwise become due or payable to them from the Northern Colorado GTO Association or the Board of Directors so that neither the members of the Northern Colorado GTO Association, the Board of Directors, present or future, shall be liable personally thereof.
ARTICLE X. AMENDMENTS TO THE BY-LAWS
Section 1. The Board of Directors of the Northern Colorado GTO Association, or any majority of members in good standing, by written proposals submitted to the Board of Directors, may propose an amendment to these By-Laws. Upon such proposal being made, a copy thereof shall be sent to all members for their review before the next regularly scheduled business meeting. If a majority of the members present at the next regularly scheduled business meeting vote in favor of the proposal at the meeting, the proposed amendment shall, thereby, be approved, adopted and incorporated into these By-Laws.
ARTICLE XI. YEAR DEFINITIONS
Section 1. Calendar Year – The calendar year shall be from January 1 through December 31.
Section 2. Election Year – Terms of officers will be served from January 1 to December 31.
ARTICLE XII. REQUIREMENTS FOR INSURANCE
Section 1. Members participating in club events shall carry vehicle liability insurance to or exceeding the minimums established by Colorado statute or as required by the state in which they reside. Each club member shall carry proof if current liability insurance on their vehicle, as required by law, and in no event shall the club be held liable for events properly covered by the club member's vehicle insurance.
ARTICLE XIII. GTOAA
Section 1. All members will be required to become members of the GTO Association of America by 2022.
ARTICLE XIV. ALCOHOLIC BEVERAGES
Section 1. The Club shall not furnish or serve alcoholic beverages to its membership or to any other person in such a manner as to be deemed a "social host" and to incur potential liability therefore under the Colorado dram shop statute.
ARTICLE XV. QUORUM
Section 1. At any meeting of the Board of Directors, a majority of the number of Directors in attendance shall constitute a quorum for the transaction of business. At the monthly business meeting, a majority of the members present shall constitute a quorum for the transaction of business.
ARTICLE XVI. COMMITTEES
Section 1. Based on the needs of the club as determined by the Board of Directors or per suggestion of a member, committees shall be considered and approved by a majority of the Board of Directors. The President shall appoint the committee chair with the consent of the Directors.
